
MARK MANNER, with more than 30 years of legal experience, has earned a reputation as a powerful corporate attorney, knowledgeable expert witness and trusted adviser. He has substantial experience structuring and negotiating complex mergers, acquisitions, private equity and securities transactions. In addition, he counsels boards of directors on governance issues, including corporate disclosure and policy issues. Mark is H3GM’s managing shareholder and a member of the firm’s Executive Committee.
Chambers USA, a ranking of leading firms and lawyers, quoted an H3GM client as saying, “[Mark] is a senior corporate lawyer who is exceedingly good at dealing with tricky corporate matters.” Public and private companies rely on his advice on complex issues, including initial and follow-on securities offerings, venture capital financings and leveraged buyouts.
In 2011, Mark was named “Nashville’s Corporate Governance and Compliance Lawyer of the Year” by Best Lawyers in America. Not only does Mark have a deep understanding of the issues boards face, including SEC disclosure requirements and filings, capital markets issues, fiduciary duties, and compliance with SEC regulations, but he pairs that understanding with objectivity and the ability to navigate complex interpersonal relationships in order to resolve issues and enhance shareholder value.
Mark is an active member of the healthcare business community. He has served on the board of directors for the Nashville Health Care Council and is a founding member of the Tennessee Biotechnology Association. Currently, he is of counsel to the board of Life Sciences Tennessee. Chambers USA, Best Lawyers in America and The Nashville Business Journal all have ranked Mark as top in Tennessee for healthcare law in recognition of his corporate work with the Nashville healthcare community.
Mark worked in Washington, D.C. before he came to H3GM. He was with the Antitrust Division of the U.S. Department of Justice and served as a special assistant U.S. attorney in Alexandria, Virginia. He received his LL.M. from Yale Law School and his J.D. from Memphis State University
where he was the editor-in-chief of the Memphis State University Law Review and
graduated first in his class. He received his B.A. in chemistry from Vanderbilt
University.
