JON STANLEY focuses on corporate and securities law and mergers and acquisitions for emerging and growth private and public companies.  He endeavors to make the abstractions involved in securities regulations and M&A law concrete for his business clients, which takes an equal understanding of corporate law and the clients’ goals.

Jon has extensive experience working on complex corporate matters. Of particular note, he recently acted as legal counsel to one of the world's largest research-based biopharmaceutical companies in its acquisition of a public pharmaceutical company headquartered in Tennessee. In this role he advised the client on Tennessee law as it applies to takeovers of public companies.

Jon’s work with public companies goes beyond mergers and acquisitions. He advises many of the firm’s public company clients on federal securities laws, including going private laws under Section 13(d) and 13(e), and executive stock transactions under Section 16. Jon has also represented closely held businesses in over 50 transactions involving the sale of stock or other securities.

Jon received his law degree from Vanderbilt University. While at Vanderbilt, he was on the Dean’s List and served as an associate editor of the Vanderbilt Law Review. Jon received his bachelor’s degree in history from the University of Virginia.
